Bain Capital, one of the world’s leading private investment firms, together with SilverTree Equity, has agreed to sell a majority stake in XTEL, a leading provider of revenue management and trade promotion software for consumer packaged goods companies, to Oakley Capital, a leading mid-market, pan-European private equity investor.
XTEL’s technology helps consumer goods businesses across the food, beverage and household sectors plan and steer the trade promotions they negotiate with retailers, drawing on large volumes of sales, pricing and financial data. The company counts over 400 major international brands among its clients, including Unilever, PepsiCo and Johnson & Johnson, and supports over €350 billion in annual trade spend.
Oakley Capital’s investment is expected to support XTEL’s continued international expansion, further M&A and the development of its AI technology capabilities.
Bain Capital and SilverTree Equity were advised on Luxembourg corporate matters by the law firm Arendt & Medernach, with a team composed of partner Sébastien Binard, counsel Romain Scellier, senior associate Tania Tossa and associates Emilie Czernechi and Clémence Brice.
