Arendt's real estate and private equity fund lawyers advise on all aspects of the structuring and organisation of private equity and real estate funds, managers and advisers, as well as on investments and transactions in the sector - notably the definition of of investor co-decision rights, carried interest schemes, debt financing arrangements and capital market-related aspects, as well as the negotiation of purchase agreements.

We regularly advise on private equity and venture capital fund strategies, including start-up, expansion capital, development and turn-around or buy-out funds, real estate and private equity real estate fund strategies. We also assist clients in formulating contractual relationships between investment vehicles and their services providers, such as the depositary, prime broker, investment manager, investment adviser, administration agent and other providers of fund-related services.

Our teams also advise on the implementation of complex investment strategies, including derivatives transactions, securities lending or collateral-related matters, and more generally on all asset management-related issues. Our legal advice covers compliance with regulatory requirements, for instance regarding private equity funds set up as SICARs or SIFs, the acquisition and financing of private equity businesses, implementation of carried interest structures, executive compensation and ownership schemes, as well as fundraising.

Our real estate and private equity fund lawyers also provide assistance with the registration of Luxembourg funds in other jurisdictions, with local support, as well as the registration of foreign funds in Luxembourg.

Industry involvement

We participate in many strategic committees and working groups established by industry regulator Commission de Surveillance du Secteur Financier (CSSF) and the Association of the Luxembourg Fund Industry (ALFI). Representatives of the firm are also founders and/or active members of the Luxembourg Private Equity and Venture Capital Association, Invest Europe (the European Private Equity & Venture Capital Association) and LuxReal.
