468 SPAC II SE (the “Company”), a Luxembourg special purpose acquisition company (SPAC), completed its private placement of 21,000,000 units (the “Units”) consisting each of one share (a “Public Share”) and one-third of a warrant (a “Public Warrant”), at a price of EUR 10.00 per unit for an aggregate of EUR 210 million.

The Company has applied for admission of the Public Shares to trading on the regulated market of the Frankfurt Stock Exchange (General Standard) and for introduction to trading of the Public Warrants on the open market of the Frankfurt Stock Exchange (Börse Frankfurt Zertifikate AG).

Sponsored by Alexander Kudlich, Ludwig Ensthaler and Florian Leibert (the “Management Team”), the Company plans to target a company that is based in the technology and technology-enabled sector with a focus on sub-sectors consumer technology and software & artificial intelligence. The Management Team leverages on its experience with the first SPAC, 468 SPAC I SE, which has successfully closed its business combination with tonies SE in November 2021.The Management Team has experience in building global success stories across verticals in the targeted technology sectors, representing a powerful combination of a proven track-record of deal sourcing and value creation as well as growth-stage and public market expertise.

A supervisory board with a strong experience in investing and developing technology companies that consists of Katharina Juenger as the Chairperson, Stefan Kalteis and Mato Perić also supports the Company in this project.

468 SPAC II SE has been advised on all Luxembourg legal (including corporate and capital markets aspects) as well as tax matters by a team from the international law firm Arendt & Medernach, led by partner Alexander Olliges, who already acted for the sponsors of the 468 SPAC I SE.
