Arendt & Medernach has acted as Luxembourg counsel to CIRSA Enterprises S.A.U. on the Luxembourg law aspects of the registration and approval by the Spanish Securities Market Commission (CNMV) in relation to the public offering of its ordinary shares listed on the Barcelona, Bilbao, Madrid and Valencia Stock Exchanges and provided comprehensive advice on all Luxembourg aspects throughout the pre- and post-IPO phases for the relevant Cirsa group entities involved in the transaction.
The offering consists of a primary offering of newly issued shares targeting a €400 million equity raise, as well as a secondary sale of approximately €53 million, exclusively for the purposes of settling taxes and other expenses associated with the management holdings.
Cirsa, a Blackstone portfolio company, is a leading gaming company in Spain, Panama, Colombia, Costa Rica and the Dominican Republic, and a key player in Italy, Morocco and certain other Latin American countries. The net proceeds of the primary offering will be used primarily to accelerate Cirsa’s growth strategy and strengthen its capital structure by reducing its leverage.
