New regime for the commercial lease in Luxembourg

In a first vote on 17 January 2018, the Chamber of Deputies adopted a new law amending the commercial lease regime (Bill n°6864). This new law aims to promote commercial activity and improve the protection of merchants, in particular by:

• limiting the rental guarantee to 6 months;
• prohibiting the practice of “key money”;
• prohibiting sublease rents higher than the main rent (an exception is foreseen for investments made by the main tenant);
• guaranteeing a renewal of the fixed-term lease during the first 9 years (except in a few specific situations) – after these 9 years the landlord may refuse provided that he pays an eviction indemnity;
• granting the tenant a postponement of eviction of 1 to 9 months, but only under certain conditions; and
• introducing a pre-emptive right for the long-term tenant (at least 18 years) in the event of the sale of the building in which he operates.

The provisions of the law will apply to current contracts, with the exception of the provisions on subletting, for which a transitional period of one year has been granted, in order to allow main tenants to ensure that their sublease agreements are in compliance with the law.

Nouveau régime pour le bail commercial à Luxembourg

Lors d’un premier vote le 17 janvier 2018, la Chambre des Députés a adopté une nouvelle loi modifiant le régime du bail commercial (projet de loi n°6864). Cette nouvelle loi vise à encourager l’activité commerciale et à améliorer la protection des commerçants, notamment en :

• limitant la garantie locative à 6 mois ;
• interdisant la pratique du « pas de porte » ;
• interdisant des loyers de sous-location plus élevés que le loyer principal (une exception est prévue pour les investissements réalisés par le locataire principal) ;
• garantissant un renouvellement du bail à durée déterminée pendant les 9 premières années (sauf dans quelques situations particulières) – après ces 9 années, le bailleur peut le refuser sous condition de payer une indemnité d’éviction ;
• accordant un sursis à déguerpissement unique de 1 à 9 mois, mais sous certaines conditions uniquement ; et
• instaurant un droit de préemption pour le locataire commerçant de longue durée (au moins 18 ans) en cas de vente de l’immeuble dans lequel il exerce son activité.

Les dispositions de la loi s’appliqueront aux contrats en cours, à l’exception des dispositions relatives à la sous-location, pour lesquelles une période transitoire d’une année a été accordée, afin de permettre aux locataires principaux de mettre leurs contrats de sous-location en conformité avec la loi.
