Given the ongoing development of our firm, we are currently recruiting:
Fund Governance Officer
Your role:
- Handle the day-to-day requests of Arendt’s clients on the preparation and submission of standard corporate authorisations and regulatory forms (e.g. declarations of honour, lists of mandates etc.) in relation to the functioning of regulated and unregulated investment funds (such as fund/sub-fund launch, change of managers/directors, liquidation/dissolution etc.) under the supervision of a member of the legal team;
- Keep logs of all of the agreements and other documents entered into by the client’s entities;
- Review signing formalities, prepare authorized signatories’ lists and deal with legalization and apostille processes;
- Coordinate necessary translations of documents;
- Prepare board meetings (packs), attend board meetings and draft minutes;
- Prepare action points for the service providers and follow up in between board meetings with the service providers on the action points allocated to them;
- Assist partners of the firm in their duties as board directors by reviewing board packs and highlighting key findings;
- Help to manage the Governance Framework policy including all Terms of References of local committees, annual schedules/planning of the meetings;
- Ensure key deadlines in the corporate calendar and/or with respect to filing with the authorities are met by collating input or requesting action from the relevant stakeholders;
- Coordinate shareholders’ meetings with the clients and service providers, and draft resolutions (AGMs, OGMs, EGMs);
- Assist the finance teams and the auditors in the preparation of the funds’ annual accounts by providing the required information and/or documents and by coordinating communication between various stakeholders involved;
- Maintain statutory registers and corporate files of our clients;
- Maintain our clients’ policies & procedures library and ensure updates through the departments/board;
- Provide logistical support in regulatory reporting matters (regulatory filings and questionnaires);
- Liaise with clients, notaries, lawyers (both internally and externally), external service providers, internal auditors, and authorities (the CSSF, RCS, and AED particularly) as requested by the client and/or the legal team with respect of the matters described above.
Your profile:
- You have a Bachelor’s degree in law or an equivalent university degree;
- You have a minimum of 2 years of experience in a similar position (Fund officer, paralegal, Corporate Governance with exposure to funds, etc.) in a law firm, a management company/AIFM or a fund administrator in Luxembourg;
- You have a good understanding of the Luxembourgish fund industry (actors, laws, regulations);
- You have a perfect command of French and English, German being considered as an asset;
- You are highly organized, rigorous and understand the importance of deadlines;
- You are proactive, eager to learn with excellent interpersonal and communication skills;
- You have a perfect command of MS Office (Word, Excel, Outlook).
