DEAL - SPAC - de-SPAC
Luxembourg, 21 September 2021 – Arendt & Medernach has assisted Lakestar SPAC I SE, a SPAC sponsored by Lakestar Founder and Chairman Dr. Klaus Hommels, with a range of Luxembourg tax, corporate and capital markets matters. This assistance helped facilitate a business combination with HomeToGo GmbH, the first Luxembourg-domiciled European SPAC to list in Frankfurt, and the first de-SPAC among listed European SPACs.
The transaction closed on 21 September 2021 by way of contribution of all shares of HomeToGo into Lakestar SPAC I SE in exchange for new public shares.
Luxembourg has proven to be an attractive hub for SPACs, and Arendt's involvement in this business combination once again shows the depth of our experience with these highly complex transactions.
