Our bank lending and structured finance practice represents a wide range of domestic and international clients in the asset finance, derivatives, securitisation and Islamic finance sectors.

Arendt’s lawyers have extensive experience in assisting domestic and international banks and financial institutions in often highly complex financing activities and can handle all aspects of financing and securitisation transactions, including:
  • Structuring, restructuring and documenting domestic and cross-border financing arrangements.
  • Benefiting from Luxembourg’s lender-friendly legal framework for security and assisting with all security aspects of a transaction.
  • Enforcement of collateral.
  • Advising on Shari'ah compliant financing such as Murabaha, Musharaka and Mudaraba and on the structuring of Sukuk and other structured products.
  • Negotiating derivative contracts.
  • Establishment of traditional as well as innovative securitisation transactions, for example involving microfinance, green power generation and tangible assets.
  • Assisting with the issuance and listing of debt instruments.

In recent years our lawyers have been involved in a large number of domestic and multi-jurisdictional repackaging transactions, securitisations, debt instrument programmes and structured finance transactions covering a wide range of assets, including landmark transactions involving structures set up through special purpose vehicles under Luxembourg’s securitisation law of 22 March 2004.

Our securitisation experts have acted for arrangers, issuers, investors and rating agencies in asset-backed securitisation, assisting our clients from the structuring of the transaction to the listing of the securities, drawing on our substantial expertise and experience in the field combined with a business-oriented and innovative approach.

The bank lending and structured finance team has experience in areas across the full range of the credit spectrum, including leveraged, acquisition, real estate and asset finance. Members have long-standing expertise in setting up all types of collateral arrangements as well as in enforcement.
Our lawyers also have expertise in highly specialised financing transactions covering aircraft, seagoing vessels and rolling stock, including drafting security documents such as aircraft and maritime mortgages and Cape Town Convention-compliant security agreements.
